Company and sole trader registration in Georgia
We set up an LLC (შპს) or register sole trader status: incorporation documents, registration itself, tax registration and the pack the bank will ask for.
The form is not a matter of habit. It decides what you are liable with, how tax is calculated and whether you can hire.
What the work covers
- Working out the task and the form. We look at the activity, the owners, hiring plans and where you are tax resident yourself.
- Checking the name. We pick options and check they can be used before filing, so the application is not refused over something trivial.
- Incorporation documents. Application, decision to incorporate, charter, either the standard one or drafted around what the owners have agreed.
- Registered address. We check the address you provide is usable and arrange the owner's consent.
- Registration in the register of entrepreneurs through the Public Service Hall.
- Tax registration and access to the taxpayer's account.
- Appointing the director and setting out their authority.
- Preparing for the bank. We assemble the pack, help phrase the description of the business the way a bank expects it, and attend the procedure with you.
- Translations and notarial certification where they are needed.
- The full set of documents, including the extract from the register, handed over to you.
When a bespoke charter is worth it
The standard charter is usually enough when there is a single owner and nothing particular to record. A bespoke one is needed when there are several owners and something to settle between them: how decisions are taken, pre-emption rights on a sale of a share, how an owner exits, the split of authority between the director and the meeting, what happens to a share in a dispute.
This is the document people go back to when partners disagree, which is why it is worth drafting before that happens rather than after.
What is not included
- The bank's decision on the account. We prepare the pack and attend the procedure, but the bank decides by its own rules.
- Bookkeeping and tax reporting after registration. That is continuous work, not part of setting the company up.
- Licences and permits for regulated activities. We assess whether you need them; obtaining them is discussed separately.
- Tax planning where you are resident. A Georgian company does not cancel your obligations in the country where you are tax resident.
- Anything the law requires you to do in person.
What you will need
- Passport of every owner and of the director.
- Several options for the company name.
- An address for registration and the property owner's consent.
- What the owners have agreed: shares, who is director, how decisions are taken.
- A description of the business, what the company will actually do.
- If an owner is a company: its registration documents, with an apostille and translation where required.
- A power of attorney if we act on your behalf.
You do not need the full set at the start. Some documents are worth obtaining only once the form is settled and the scope agreed.
How the work goes
- You describe the task, through the form on the site, by email or in a messenger.
- A lawyer goes through what you have, what still has to be obtained and where the tight spots are.
- We agree the scope and the price. You pay nothing before that point.
- We sign a contract in which the scope of the service is set out in writing.
- You hand over the documents, we check the set and tell you what is missing.
- We run the procedure and keep you informed at every step.
- You receive the result and the full set of documents.
Prices
The prices in this section already include state fees, notarial certification in Georgia and the registered address. There is nothing to pay on top for those.
| What we do | In person | Remotely |
|---|---|---|
| LLC (შპს) with the standard charter | $900 | $1100 |
| LLC with a bespoke charter | $1300 | $1300 |
| Sole trader | $300 | $500 |
| Support with the bank procedure | from $100 | - |
"Remotely" means you do not have to travel: you issue a power of attorney and the procedure at the Public Service Hall is carried out for you. Note that the bank procedure normally still requires you in person. That is the bank's rule, not the register's.
A consultation starts at $30. Prices are exclusive of VAT. The price for your matter is confirmed before the work starts and recorded in the contract.
What is outside our control
- How long the register and the bank take.
- What the bank wants to see in the pack and in the description of the business. This differs between banks and changes.
- Whether the chosen name is taken or spelled in a way the register accepts.
- Documents issued in another country and only to their holder in person.
Where the decision rests with an authority or a bank, we say so before the work starts, not after a refusal.
Not sure which form suits you? Tell us what you plan to do and we will set out the steps, the scope and the price.

It sets out the scope of our service and the general order of the procedure. It is not legal advice and not a public offer: the scope, the timing and the price for a particular matter are agreed individually and recorded in the contract. Requirements, fees and practice change, so anything here is checked against the position on the day you apply. In many procedures the final decision rests with the competent authority and its discretion, so a positive outcome cannot be guaranteed.
